October 20, 2026

From an exclusive wine and gourmet resort and alpine luxury hotels with impressive panoramic views to exceptional design hotels on one of Bavaria’s most popular lakes: Vienna-based EPH Group AG develops high-quality hotel properties in selected leading European destinations and has now resolved to issue a further secured bond. The bond will have a seven-year term, an annual interest rate of 10 percent and monthly interest payments.

Vienna, 20 October 2026. EPH Group AG, based in Vienna and specialising in the development of hotel properties in the premium and luxury segment, is continuing its growth trajectory: With the approval of the Supervisory Board, the Management Board has resolved to issue a further corporate bond with a total volume of up to EUR 50 million. The company intends to use the proceeds to expand its portfolio of high-quality hotel and resort projects in Austria, Germany and other attractive European tourism destinations.

The new unsubordinated tourism corporate bond 2026/2033 (ISIN: AT0000A3XVE4) has a term of seven years and carries an annual interest rate of 10 percent. Under the terms and conditions of the bond, interest will be paid monthly, with the first payment in January 2027. The denomination is EUR 1,000 per note. As with the corporate bond issued in 2025, the new bond is also intended to be secured by a pledge of equity interests in EPH Group AG’s subsidiaries and investee companies.

Subscription scheduled to start on 28 October 2026

The subscription period is expected to run from 28 October until 25 November 2026, 12 noon. Subject to approval and publication of the prospectus, investors from Austria, Germany and Luxembourg will be able to subscribe to the bond via EPH Group AG’s website from 28 October 2026. Inclusion in trading on the Vienna MTF of the Vienna Stock Exchange in the corporates prime segment is scheduled for 1 December 2026.

International hotel concepts for attractive tourism regions

EPH Group AG focuses on developing exclusive hotel properties in locations with particular appeal to tourists. The focus is on premium and luxury hotels and resorts developed by EPH Group, some of which it also builds itself, and operated by international hotel groups.

The company identifies suitable locations, secures the relevant properties and develops individual hotel concepts from planning through to construction.

EPH Group focuses on professionally operated hotels used for tourism throughout the year rather than traditional holiday properties or second homes. This is intended to ensure sustainable, economically viable occupancy levels at the locations, create new jobs and generate additional demand for regional businesses.

Cooperation with internationally established hotel brands is a key part of this strategy: The aim is to combine the distinctive features of each location with professional operating concepts to create hotels with international appeal and the potential to generate long-term value for the region.

Hotel projects in Austria and Germany

EPH Group is currently working on several carefully selected hotel and resort developments in Austria and Germany. These include an exclusive five-star wine, gourmet, wellness and golf resort in Burgenland. A resort with around 300 beds is planned on a site of approximately 26,000 square metres in the heart of a historic wine-growing region. Spacious suites and private lodges, a rooftop restaurant with panoramic views over the vineyards, a traditional Austrian wine tavern and a dedicated wine experience centre are intended to combine the region’s wine culture and culinary diversity with sophisticated hospitality.

The company is also pursuing hotel projects in the Austrian Alps. A resort with around 300 beds and impressive mountain views is currently being developed in the Kitzbühel Alps. Further projects with direct access to ski areas are located in the imposing mountain landscape around the Grossglockner and on Lake Ossiach in Carinthia.

Another development focus is Upper Bavaria, where EPH Group is planning two exceptional hotels on one of Bavaria’s best-known lakes. Planning permission for an exclusive boutique hotel in an elevated location with impressive lake views is expected shortly; a further design hotel with around 220 beds and high-quality dining and wellness facilities for design- and lifestyle-conscious guests is also planned on the same lake.

The individual projects are at different stages of development and approval.

Capital market financing as part of the growth strategy

EPH Group AG uses the capital markets to finance its property developments. With the new bond, the company intends to strengthen its financial base for further investments and drive the expansion of its hotel portfolio. Geographical diversification of the portfolio is a key element of the company’s strategy.

The new issue follows the company’s previously issued corporate bonds. In parallel, EPH Group plans to make an exchange offer at a ratio of 1:1 to holders of the “2023/2030” notes (ISIN: DE000A3LJCB4) and the “2025/2032” notes (ISIN: DE000A3L7AM8). The specific terms are to be announced separately, most likely after the end of the subscription period during which no accrued interest is payable.

Publication of the securities prospectus, which is subject to approval by Luxembourg’s financial supervisory authority CSSF, is planned for around 23 October 2026. The public offering is scheduled to run until 22 October 2027, 12 noon, subject to early termination.

The issue date has been set for 1 December 2026.
